Rights holders agreement

The terms used in this Rights Holders Agreement:

Administration of the Website: shall mean the service, which develops and maintains the InkaFilm Internet resource (located at www.inkafilm.ru).
Rights holder of the audiovisual work: shall mean a natural person or a legal entity, which owns the rights as the producer of the audiovisual work (“Law on copyright and neighboring rights” of the Russian Federation, Article 13), or the right to reproduce the audiovisual work in the Web in such a way, that anyone could have on-line access to it from any place, at any time, unlimited number of times.
Audiovisual work: shall mean a work consisting of fixed series of interconnected images with or without sound accompaniment), which is intended to be made visible and (where the images are accompanied by sound) audible with the aid of appropriate technical equipment.

1. General terms

1.1. This is the Rights Holders Agreement between the Administration of the Website (“Administration”) and the Rights Holder, which settles relationship on the Website use located at www.inkafilm.ru.

1.2. The Rights holder is a natural person or a legal entity, which agreed to enter into this Agreement and submitted one or more audiovisual works electronically or on any digital medium for its further placing on the Website.

1.3. The Administration retains the right to modify and revise this Rights Holders Agreement in its sole discretion. Such modifications shall become effective upon their publication on the Website InkaFilm.ru.

2. Subject of the Agreement

The Administration offers the Rights Holder a resource and programming-technical possibilities of the InkaFilm Website to host, save and view audiovisual works on it.

3. Services description

The Administration offers the Rights Holder a bundle of free services on the limited hosting, saving and viewing of the video materials. The Rights Holder agrees and accepts that the look and the technical qualities of the rendered service shall be defined by the Administration of the Website. The Administration shall have no obligations for delays, failures or inaccurate functioning of these services, neither it shall be responsible for their discrepancy with the Rights Holder's purposes.

4. Termination

The Administration shall have the right to discontinue its relationship with the Rights Holder in case of violation of this Agreement by the Rights Holder. The Administration reserves the right to suspend or to terminate providing of the services without any explanations of the reasons.

5. Rights Holder's rights, warranties and obligations

5.1. The Rights Holder warrants that he owns the rights as the producer of the audiovisual work, hosted by him on the InkaFilm.ru (“Law on copyright and neighboring rights” of the Russian Federation, Article 13) or owns the rights to represent it in the Web to make it available to anyone online, from any place, at any time, unlimited number of times.

5.2. The Rights Holder submitting audiovisual works in purpose of their hosting on the InkaFilm Website permits the Administration to represent the audiovisual work and to make it available to anyone online, from any place, at any time, unlimited number of times.

5.3. The Rights Holder agrees that he is solely responsible for all video materials (audiovisual works), which he sends, receives, transfers or makes available with the aid of InkaFilm.ru service. In case of any claims presented to the Administration, in connection with the violation of the applicable law, the Rights Holder shall regulate all the arising claims on his own, at his own expense.

5.4. The Rights Holder grants the Administration the right to use the materials published and made available by the Rights Holder in purposes of service developing, including creation of the advertising materials and hosting of the materials on the partners' websites.

5.5. The Rights Holder agrees that the Administration may submit any information about the Rights Holder at a certain request from the jurisdiction.

6. Ownership rights of InkaFilm.ru

6.1. Unless indicated in the additional agreement between the Rights Holder and the Administration, should send all claims, requests, questions and any other correspondence that is addressed to the Administration with the aid of feedback form, which is posted at http://www.inkafilm.ru/feedback/?lang=en.

6.2. The Parties agree that all possible disputes, arising in connection with this Agreement shall be settled in accordance with the applicable law of the Russian Federation.

6.3. None of the provisions of the Rights Holders Agreement should be considered as the establishment of an agent relationship, fellowship relationship, relationship of private hiring or any other kind of relationship that is not indicated directly in the Rights Holders Agreement between the Rights Holder and the Administration.

7. Privacy on InkaFilm.ru

InkaFilm.ru does not ensure privacy of the presented, sent or published with the aid of any other means materials by the Rights Holder.

8. The Rights Holders Agreement entry into effect

The Rights Holders Agreement in any single case comes into effect at the Rights Holder's confirmation of his acceptance of the terms of the Agreement and at his submission of audiovisual materials on the InkaFilm.ru resource.
